Standard terms and conditions

THESE ARE THE STANDARD TERMS & CONDITIONS REFERRED TO IN THE CONTRACT BETWEEN MULTIMEDIA FOR LIFE LTD AND THE CLIENT

1. DEFINITION OF TERMS

  • Multimedia For Life Ltd - The Company including its employees and agents residing at 18 Thoresby Street, Leicester LE5 4GU and trading as ‘Multimedia for Life’ and having its principal place of business at 18 Thoresby Street, Leicester LE5 4GU, aforesaid.
  • Client - The entity which enters into a contract with Multimedia For Life Ltd.
  • Domain Name - The root address of a Website, e.g. www.webaddress.com. All such names must be registered with the appropriate naming authority.
  • Downtime - The amount of time when the Website or Hosting Services is not accessible via the Internet. This may be because of a technical failure of the Host or because Work is being carried out on the Website.
  • Host - The Company on whose system the Website physically resides.
  • Hosting - The act of making the Website available to view over a network. This can also include the act of making the E-mail Service available.
  • Link, Hyperlink - A 'clickable' link embedded on a web page which may take the form of a graphic or text.
  • Search Engine - A Website which contains a directory of Websites on the Internet enabling users to find Websites by subject matter classification.
  • Website – One web page or a collection of web pages and associated code which forms an integrated presence.
  • Work, Service(s) - The subject matter of the contract between the Client and Multimedia For Life Ltd. This includes but is not limited to any Website design, Website Implementation, Hosting, Domain Name registration, Print Design, Corporate Identity or any other Services.
  • Open Source Software - Software which is freely available under a license but which may be modified.
  • Hosting Fee - A yearly fee that can cover the cost of the Client's Domain Name renewal and Hosting Services.

2. FEES

2.1) Fee Payable

A non refundable deposit of 25% of the total fee payable under the contract is due immediately upon the signing of the contract. The remaining 75% shall become due when the Work is completed to the reasonable satisfaction of the Client but subject to the terms of Clause 4.3 Approval of Work and Clause 4.4 Rejected Work hereof. Multimedia For Life Ltd reserves the right not to begin the Work until the said deposit has been paid in full. Any additional amounts owed by the Client must be paid in full before the Work is offered to the Client (for example costs incurred from additional concept designs or additional costs which were not included in the original quote).

2.2) Additional Revisions

If the Client would like any changes to be made to the Work provided by Multimedia For Life Ltd that is different from the agreed specification, the Client agrees to inform Multimedia For Life Ltd in writing of the changes required and if necessary, pay any required charges for the changes to be made before the changes are made. The nature of the changes required by the Client will be judged on a case by case basis by Multimedia For Life Ltd and therefore any charges may vary in relation to this. Simple and quick amendments are changes which take Multimedia For Life Ltd less than 5 minutes to make.

2.3) Hosting Fee

Where Multimedia For Life Ltd provides the Domain Name or Hosting Service to the Client, the Client agrees to pay a Hosting Fee. The first Hosting Fee payment shall be due in advance of providing the Work or Service to the Client. Multimedia For Life Ltd will provide the Client with a due date for the Hosting Fee. The Hosting Fee will be payable yearly. The required Hosting Fee must be received within 30 days of the due date (Multimedia For Life Ltd will attempt to contact the Client via email prior to 30 days of the due date for payment). Multimedia For Life Ltd reserves the right to stop providing all Domain Name and Hosting Services to the Client where the Client has not paid the Hosting Fee in full by the due date. The Hosting Fee figure will vary depending on the Client’s requirements. The Hosting Fee may change from time to time and Multimedia For Life Ltd will attempt to notify Clients that may be affected in writing. The Services provided by Multimedia For Life Ltd for the Hosting Fee will not be renewed if Multimedia For Life Ltd cannot contact the Client when payment is required for renewal or the Client requests for Multimedia For Life Ltd not to Host the Client’s Website or renew the Client’s Domain Name. Requests such as this must be made in writing. Multimedia For Life Ltd reserves the right to not refund any Hosting Fee and any paid Hosting Fee will be forfeit by the Client should the contract be terminated by the Client.

2.4) Returns and Refunds

Refunds may be given at the sole discretion of Multimedia For Life Ltd. If Work arrives faulty or damaged, the Client must inform Multimedia For Life Ltd immediately and within 24 hours of delivery or the Client’s right of a refund may be void. If the Client is asked to return any Work, the Client must ensure that the Work is carefully packed in the condition received; it is returned to Multimedia For Life Ltd via an appropriate insured method and arrives within 2 working days of date delivered to the Client. It is the responsibility of the Client to pay all charges incurred in returning Work and these charges may not be reimbursed. Multimedia For Life Ltd will investigate any fault or damage to the Work and if no fault or damage can be found, then the Client will not be entitled to a refund and will be required to pay a £10 administration fee including any other costs involved such as re-delivery. Please pay particular attention to clause 3.16) Variations in Colour, Size and Quantity before considering work to be faulty. Your statutory rights are not affected.

2.5) Altering Services and Charges

Multimedia For Life Ltd reserves the right at it sole discretion to alter its Services and charges from time to time without prior notification, but all prices shall be fixed for any prepayment period except where the Client requires alterations.

2.6) Printing, Proofs and Delivery

Multimedia For Life Ltd reserves the right to charge the full amount for any printing, proofs and delivery costs before these are provided to the Client.

2.7) Support

In general Multimedia For Life Ltd does not provide support for web services. If the Client requires any support (e.g. support which relates to the setup and use of E-mail accounts) whether over the telephone or face to face, this may be charged for and any payment may be required before any support is provided. If the Client looses important information such as their username and password to log on to certain Services, there may be a reasonable charge to recover such details. Any charges will be required to be paid upfront, before recovery. Multimedia For Life Ltd does not provide support for third party products and services.

3. DISCLAIMERS

3.1) Third Parties

Multimedia For Life Ltd can take no responsibility for Services provided by third parties through us or otherwise, including the Hosting of the Client's Website, although Multimedia For Life Ltd will endeavour to ensure that Website Downtime is kept to a minimum.

3.2) Revisions and Correction of Errors

Errors (both technical and typographical) attributable to Multimedia For Life Ltd will be corrected free of charge, but Multimedia For Life Ltd reserves the right to charge a reasonable fee for the correction of errors for which Multimedia For Life Ltd is not responsible, including, but not limited to malicious modification of the Website by a third party and typographical errors contained in materials provided to Multimedia For Life Ltd by the Client. Where a concept design or proof is provided to the Client, it is completely the Client’s responsibility to check if it meets the Client’s requirements and inform Multimedia For Life Ltd of any revisions, corrections and changes in writing.

3.3) Extent of Work

Installation on the Internet of the Client’s Website is limited to the uploading of all necessary files to the Host and testing of functionality. Registration of the Website with Search Engines will also be undertaken after final payment has been received by Multimedia For Life Ltd and the funds cleared. Print ready files will be provided after full payment is received.

3.4) Consequential Loss

Under no circumstances will Multimedia For Life Ltd be responsible or liable for financial or other loss or damage caused by the failure or use or misuse of Work or software provided. The Client should ensure that Work or data on their Website is regularly backed up and that a contingency plan is in place to minimise possible losses as a result of software failure or any other problem.

3.5) Status and Duration of Offers

Proposals and offers are valid for a period of 30 days from the date issued unless otherwise stated. Multimedia For Life Ltd is not bound to honour offers that have expired. Offers are not legally binding until an acceptable deadline for the Work has been agreed by both parties. This deadline must be agreed within the 30 days that the offer is valid. If an acceptable deadline has not been approved by both parties within 30 days of the offer being made, the offer is deemed to have expired.

3.6) Search Engine Listings

Multimedia For Life Ltd does not guarantee listings on Search Engines and the Client accepts that it is Search Engines and not Multimedia For Life Ltd that determine whom they list and whom they will not. The Client further understands there is no guaranteed placement or rank on the Search Engines and that a Website may never even appear on Search Engines at all. Multimedia For Life Ltd does not control Search Engines’ algorithms and huge shifts can appear daily, weekly and even hourly.

3.7) Domain Name Renewal

If a Domain Name is purchased by the Client through a company other than Multimedia For Life Ltd, the Client has full responsibility for making sure that the Domain Name is renewed, fit for purpose and setup correctly. Multimedia For Life Ltd will not renew and is not responsible for the Domain Name if the Domain Name is purchased through a company other than Multimedia For Life Ltd.

3.8) Hosting Renewal

If Hosting is purchased by the Client through a company other than Multimedia For Life Ltd, the Client has full responsibility for making sure that the Hosting is renewed, fit for purpose and setup correctly. Multimedia For Life Ltd will not renew and is not responsible for the Hosting if the Hosting is purchased through a company other than Multimedia For Life Ltd.

3.9) Relocation of Website or Domain Name and Hosting

The Client shall be responsible for any costs incurred by Multimedia For Life Ltd in respect of the relocation of the Website or Domain Name and Hosting to a third party or to the server of a third party (as the case may be) or the transfer of the Domain Name to a new registrar of the Domain Name (with or without a change in the ownership of the Domain Name). An administration fee of £25 will be charged to Clients that wish to transfer their Hosting or Domain Name away from those provided by Multimedia For Life Ltd. The administration fee will need to be paid in full before any transfer takes place.

3.10) Services for UK businesses and residents only

All of Multimedia For Life Ltd’s Services are offered to UK businesses and residents only.

3.11) Browser Compatibility

Multimedia For Life Ltd will endeavour to ensure that any Website will function correctly on the server it is initially installed on and that it will function correctly when viewed with Website browsing software. However, Multimedia For Life Ltd does not guarantee that the Website will function correctly with all Website browsing software.

3.12) Detrimental Usage

The Client agrees not to perform any action which could result in the reduced performance of the server to the detriment of other users of the server.

3.13) E-mail Spamming and Junk/Unsolicited E-mail or Messages

The Client agrees not to use spamming, or the sending of junk/unsolicited E-mail or messages, using any server and in the event that Multimedia For Life Ltd suspects that such practices are taking place or are anticipated, Multimedia For Life Ltd reserves the right to suspend the Services or terminate its relationship with the Client with immediate effect at which point all amounts due and owing to Multimedia For Life Ltd shall immediately become payable.

3.14) Indemnity

The Client agrees to indemnify and hold Multimedia For Life Ltd harmless from and against all liabilities, actions, legal fees, damages, losses, costs, demands, penalties suffered, ordered, incurred and other expenses in relation to any claims or actions brought against Multimedia For Life Ltd arising out of any breach of these terms & conditions, including but not limited to the Work, Services, the Domain Name, Hosting Service and the Website. Multimedia For Life Ltd shall not be liable to any third party in contract, tort or otherwise, for any direct or indirect loss of profit, anticipated savings, business, contracts revenue, time, or loss of or harm to data or other content or for any other indirect or consequential loss or damage.

3.15) Errors and Omissions

The Client acknowledges and understands that there may be errors and omissions on Multimedia For Life Ltd’s Website and published materials.

3.16) Information and Advice Offered

Whilst reasonable care and attention will be given when providing any information and advice to the Client, Multimedia For Life Ltd offers the advice on an 'as is' basis and no warranties are made to its accuracy or quality.

3.17) Variations in Colour, Size and Quantity

All screens (computers monitors or electronic displays) are not the same in terms of how accurately they display colour. Printed Work does not look exactly the same as seen on the screen. How colour is perceived is different from person to person. Although proofs are generally very accurate at displaying what the final printed Work will look like in terms of colour, proofs may not be 100% accurate at displaying the colour of the printed Work. Therefore, there will be some variation in colour from what is perceived on screen and what is printed. Multimedia For Life Ltd uses a colour calibrated workflow to minimise colour variations. Due to drawbacks in trimming technology, there may be slight differences in the trimmed sizes of printed Work, therefore all sizes stated are approximate. There may be a 5% plus or minus of the quantity of printed Work ordered and you will be charged at the contract rate for the quantity delivered. We will not accept returns based on variations of colour, size and 5% plus or minus deviation in quantity.

3.18) Cancellation

Please note that a 10% charge of the total value of the original order will be made on all cancelled orders plus a £10 charge to cover administration costs. Any costs incurred for Work already carried out up to the date of received written cancellation will also be charged for and deducted before any refunds are made. Once the Client approves a proof and the design is sent off to be printed, the Client will not be able to cancel the order and will be required to pay all outstanding costs. The Client will also loose the paid deposit if cancellation occurs.

3.19) Changes to Orders

Once a design has been sent off to be printed, it will not be possible to make changes to the order.

4. COMPLETION OF WORK AND PAYMENT

4.1) Completion of Work

Multimedia For Life Ltd warrants completing the Work in accordance with its terms & conditions to the specifications previously agreed with the Client. Multimedia For Life Ltd will not charge more than the amount previously agreed unless the Client has varied the specifications of the Work since the agreement. Multimedia For Life Ltd will not undertake changes to the specifications of the Work which would increase the cost, without prior written authorisation from the Client.

4.2) Supply of Materials

The Client is to supply all materials and information required for Multimedia For Life Ltd to complete the Work in accordance with the agreed specification. The Client agrees to ensure that all materials are supplied legally and grants Multimedia For Life Ltd permission to use the materials. Such materials may include, but are not limited to, images, written-copy, logos and other printed materials. All text content must be provided in an electronic format such as plain text. Any text that needs to be scanned in or needs to be typed into an electronic format will not be accepted. Where the Client's failure to supply such materials leads to a delay in completion of the Work, Multimedia For Life Ltd has the right to extend previously agreed deadlines for the completion of the Work by a reasonable amount. Where the Client's failure to supply materials prevents progress on the Work for more than 21 days, Multimedia For Life Ltd has the right to invoice the Client for any part or parts of the Work already completed and this invoice must be paid by the Client immediately. There may be limits on the use of images and content that Multimedia For Life Ltd supplies, for instance images cannot be displayed larger than 800x600 pixels on a website and can only be used on the web. Multimedia For Life Ltd are not liable for misuse of content images by the Client or any other person’s copying, altering or distributing the content to individuals or other organisations.

4.3) Approval of Work

On completion of the Work at various stages of the project lifecycle, the Client will be notified and have the opportunity to review it. The Client should notify Multimedia For Life Ltd, in writing, of any unsatisfactory points or approve the Work within 7 days of receipt of such notification (or sooner if otherwise stated). Any of the Work which has not been reported in writing to Multimedia For Life Ltd as unsatisfactory within the 7 day review period will be deemed to have been approved. Once approved, or deemed approved, Work cannot subsequently be rejected, and the contract will be deemed to have been completed and the balancing payment under Clause 2.1 Fee Payable will become due. The contract will remain in effect until all obligations have been completed in terms of Clause 2.1 Fee Payable.

4.4) Rejected Work

If the Client rejects the Work within the 7 day review period, or will not approve subsequent Work performed by Multimedia For Life Ltd to remedy any points reported by the Client as unsatisfactory, and Multimedia For Life Ltd considers that the Client is unreasonable in their repeated rejection of the Work, the contract will be deemed to have expired and Multimedia For Life Ltd can take any legal measures to recover both payment for the completed Work and reasonable expenses incurred in recovering payment.

4.5) Payment

Upon completion of 7 day review period, Multimedia For Life Ltd will invoice the Client for the balancing payment plus any additional costs incurred in accordance with Clause 2.1 Fee Payable hereof, which, in the absence of agreement to the contrary, is to be paid by the Client within 21 days of the date that the invoice was issued.

4.6) Remedies for Overdue Payment

If payment has not been received by the due date, Multimedia For Life Ltd has the right to suspend ongoing Work for Client, until such time that full payment of the outstanding balance has been received. If full payment has still not been received 21 days after the due date, Multimedia For Life Ltd has the right to replace, modify or remove the Website and revoke the Client's licence of the Work until full payment has been received. By revoking the Client's licence of the Work or removing the Website from the internet, Multimedia For Life Ltd does not remove the Client's obligation to pay any outstanding amounts owed.

4.7) Service Completion Date Estimate

Multimedia For Life Ltd will provide the Client with an expected completion date for the Work, but do not guarantee to meet this completion date and cannot be held responsible if the Work is not completed or offered by this completion date.

4.8) References to Work

Unless otherwise agreed in writing by the Client, Multimedia For Life Ltd has the right to create a link on the Client’s Website linking back to Multimedia For Life Ltd’s Website. This will be done in such a way as to fit in with the overall look and feel of the Client’s Website. Unless otherwise agreed in writing by the Client, Multimedia For Life Ltd reserves the right to provide a link on its Website linking to the Client’s Website and to also include references (these may include images of the Work) to Work carried out on behalf of the Client. The linking and references of Websites and Work in this way would benefit both parties. The Client agrees to allow Multimedia For Life Ltd to take 1 to 2 copies of any Work printed on behalf of the Client for use in Multimedia For Life Ltd’s portfolio.

4.9) Delivery Information

Every effort will be made to deliver on time, but any delivery date specified is at best an estimate and no liability is accepted for any loss arising from delay or error in the delivery of any Work. Multimedia For Life Ltd does not currently deliver to addresses outside of the UK mainland area. The Client must examine all goods delivered at the time of delivery. Multimedia For Life Ltd shall not be liable for any loss arising from damage caused to the goods in transit. Multimedia For Life Ltd must be notified immediately (usually within 24 hours) of any loss arising from damage caused to the goods in transit.

4.10) Changes to Work after Approval

If the Client requires changes to be made to Work after Work has been approved by the Client, Multimedia For Life Ltd reserves the right to charge reasonable additional fees incurred in making the changes.

5. INTELLECTUAL PROPERTY

5.1) Offers and Proposals

Offers and proposals made by Multimedia For Life Ltd to potential Clients should be treated as trade secrets and remain the property of Multimedia For Life Ltd. Such offers and proposals or the information contained within them must not be passed to third parties or publicly disseminated without prior written authorisation from Multimedia For Life Ltd. This includes, but is not limited to, technical features, functionality, aspects of the design and pricing information.

5.2) Warranty by Client as to Ownership of Intellectual Property Rights

The Client will obtain all the necessary permissions and authorisations in respect of the use of all copy, graphics, images, company logos, names and trademarks or any other material it supplies to Multimedia For Life Ltd for inclusion in the Work. The conclusion of a contract between Multimedia For Life Ltd and the Client shall be regarded as a guarantee by the Client to Multimedia For Life Ltd that all permissions and authorisations have been obtained and that the inclusion of such material in the Work would not constitute a criminal offence or civil wrongdoing. By agreeing to these terms & conditions, the Client removes the legal responsibility of Multimedia For Life Ltd and indemnifies the same from any claims or legal actions however related to the content of Work for the Client. Multimedia For Life Ltd will retain the copyright or license to all images and content provided by Multimedia For Life Ltd. The Client agrees to acknowledge and abide by the terms and conditions set out at www.istockphoto.com with regard to any content purchased on behalf of the Client.

5.3) Domain Name

Domain Names will be registered by Multimedia For Life Ltd and also registered to the Multimedia For Life Ltd’s current address on behalf of the Client. Although the Domain Names are registered to Multimedia For Life Ltd, the Client is the legal owner of the Domain Name and if the Client requests to have their details changed or the Domain Name transferred elsewhere, Multimedia For Life Ltd will do this within a reasonable amount of time. The Client agrees to indemnify Multimedia For Life Ltd, including any incidental costs, against any claims that a Domain Name applied for, or obtained, violates the intellectual property rights of a third party. The Client warrants that the Domain Name sought is not a trademark of a third party.

5.4) Licensing and Ownership

Once Multimedia For Life Ltd has received full payment of all outstanding invoices and the Work has been approved by the Client in accordance with Clause 4.3 hereof, the Client will be granted a non-transferable license to use, execute, print, display and backup the Work. The Client will not hold the copyright or licence of images and content which is provided by Multimedia For Life Ltd. The Client may not resell the Work but will have the licence to utilise the Work as said. All materials, including both text and images, supplied by the Client and used in the construction of the Client's Work, will remain the Client's property. All such material will be assumed to be the property of the Client and free to use without fear of breach of copyright laws. Transfer of ownership (i.e. copyright) is available on certain types of Work. Where ownership of the Work is to be transferred to the Client upon completion, Multimedia For Life Ltd shall notify in writing that ownership of the Work has been transferred to the Client. Ownership will only be transferred after payment has been received in full and the Work has been approved by the Client in accordance with Clause 4.3 hereof. Certain scripts, code, layout, images, applications and content will remain the intellectual property of Multimedia For Life Ltd or its respective owner, and may not be transferable. In general, where Multimedia For Life Ltd transfers ownership to the Client, it is the design of the Work for which the Client obtains ownership (i.e. copyright of the design). Upon transfer of ownership to the Client as expressed hereof, Multimedia For Life Ltd will permit the Client to display a copyright notice on the Work. Ownership of Open Source Software cannot be transferred to the Client as this is not owned by Multimedia For Life Ltd. Multimedia For Life Ltd performs as an independent contractor to provide the Work. Multimedia For Life Ltd does not perform ‘work for hire’ or anything of a similar nature.

5.5) Trade Secrets

Any code that is not freely accessible to third parties and not in the public domain, and to which Multimedia For Life Ltd or its suppliers owns the copyright, may not be copied, published, distributed or passed to any third parties in any form without prior written consent from Multimedia For Life Ltd. Unless previously agreed in writing, no modifications may be made by the Client or any third party, to code to which Multimedia For Life Ltd or their suppliers owns the copyright. Multimedia For Life Ltd acknowledges the intellectual property rights of the Client. Information passed in written form to Multimedia For Life Ltd, and that the Client has explicitly indicated is confidential or a trade secret, will not be published or made available in any other way to third parties without the prior written consent of the Client.

5.6) Open Source Software

The Client shall not be charged for Open Source Software. Where there is a charge for Work which involves Open Source Software, the Client is paying for the time taken to modify or install the Open Source Software, not the Open Source Software itself.

5.7) Privacy

Any personal details the Client supplies to Multimedia For Life Ltd will be taken as the Client’s consent for Multimedia For Life Ltd to record, hold, maintain and use the Client’s personal data in accordance with Multimedia For Life Ltd’s privacy policy, which is available at http://www.multimediaforlife.co.uk.

5.8) Third Party Development

The Client agrees that modifications, resale or distribution of the Work is not allowed unless prior written agreement is made between the Client and Multimedia For Life Ltd. Multimedia For Life Ltd cannot be held responsible for issues that arise as a result of disregarding this clause.

6. RIGHTS AND RESPONSIBILITIES

6.1) Right to Terminate

Multimedia For Life Ltd reserves the right to refuse or break a contract without prior notice, if it is believed that the Client, their Website, Work, or any material supplied is illegal, immoral or otherwise unacceptable. Multimedia For Life Ltd reserves the right to terminate a contract if any payment is not made by the due date. All Work and Services provided by Multimedia For Life Ltd will cease to be provided to the Client upon termination of the contract. The Client may terminate the contract at any time by providing Multimedia For Life Ltd written notification of this on letter headed paper and all payments outstanding shall become due and payable in full on demand before termination can take place. Multimedia For Life Ltd reserves the right to terminate the contract at any time by providing the Client with written notification.

6.2) Events Beyond the Control of Multimedia For Life Ltd

Multimedia For Life Ltd will not be liable for breach of contract where that breach was due to software, hardware or electrical failure, natural events such as fire or other events beyond the control of Multimedia For Life Ltd.

6.3) Supply of Software and Services

Multimedia For Life Ltd reserves the right to use whoever it feels appropriate at the time for third party software and Services.

6.4) Maintaining Valid Contact Details

The Client is solely responsible for ensuring that it maintains a valid and up to date E-mail address in respect of the Work and for notifying Multimedia For Life Ltd immediately of any change to the Client’s billing address, E-mail address, telephone number and all other contact details.

6.5) Complaints

If the Client has a complaint, the complaint must be made via phone call, E-mail or post to Multimedia For Life Ltd and within 24hours of receiving the Work. Any complaints made after this time period are void of any right to refund or reprint. Multimedia For Life Ltd’s postal address for complaints is 18 Thoresby Street, Leicester LE5 4GU.

7. INTERPRETATION

7.1) Jurisdiction

This Agreement shall be governed by the laws of England and Wales which shall claim venue and jurisdiction for any legal action or claim arising from the contract between Multimedia For Life Ltd and the Client. The said contract is void where prohibited by law.

7.2) Survival of Contract

Where one or more terms or conditions of the said contract are held to be void or unenforceable for whatever reason, any other terms or conditions of the contract not so held will remain valid and enforceable at law.

7.3) Headings

In these terms & conditions, headings will not affect the construction of these terms & conditions.

7.4) Change of Terms & Conditions

These terms & conditions may change from time to time. Multimedia For Life Ltd reserves the right, at its discretion, to update or revise these terms & conditions at any time without prior written notice and shall become effective immediately. The Client can view the most up to date terms and conditions at http://www.multimediaforlife.co.uk.
